THE OPPORTUNITY (AKA: Why you want this role over any other out there) 

Are you a passionate, engaged in-house contract management professional with a passion for helping legal departments continually improve commercial contracting and related processes?  Do you have a project management grounding to see challenges through to completion?  Are you prepared to support corporate and public company efforts with your colleagues?  Are you excited to work with off-shore teams supporting Zuora Legal?  Come join us!  Zuora is seeking a Senior Paralegal to join our Legal Department.  The position will report to a Deputy General Counsel, Commercial, and will work closely and collaboratively with Zuora’s Deal Desk, Sales, Commercial Legal and Finance teams, as well as supporting the design and implementation of contract processes and procedures.  

WHAT YOU’LL ACHIEVE

  • Support Legal Department attorneys and identify, prioritize and help implement practical solutions to improve and make more efficient the Legal Department’s processes. 
  • Draft, review, and interpret SaaS agreements, order forms and related addenda
  • Assist commercial legal attorneys with complex contract negotiations
  • Help manage and continually improve interactions with off-shore service provider, working on play books and precision processes.
  • Development and maintain contract management repositories and legal operations databases 
  • Develop, maintain and mature contracts management processes and systems, as well as implement and enforce contract policies
  • Identify, evaluate and implement process efficiency improvements, and design and implement practical processes through cross-functional collaboration and engagement.
  • Respond to a broad range of questions from and provide direct support to business partners regarding Zuora’s commercial contracts and related processes and strategies
  • Participate in and champion Commercial Legal departmental initiatives that enhance the efficiency of commercial legal support, such as sales enablement and cross-functional training
  • Review and respond to RFP questionnaires and contract assignment requests

WHAT YOU’LL NEED TO BE SUCCESSFUL

  • Highly ethical in all dealings.
  • Highly organized person who prioritizes and manages competing projects. 
  • A person who is empathetic and agile, who simplifies and comes up with practical solutions. 
  • BA/BS degree required
  • At least 6 years of prior contract management experience negotiating and drafting SaaS agreements in a software/start-up environment with a global company 
  • At least 3 years of prior project management experience in a legal department or law firm supporting, simplifying and improving legal processes 
  • At least 2 years of prior experience in a legal department or law firm supporting corporate, transactional, M&A, in-house public company matters
  • A highly detailed approach to the review and redlining of contract and order form terms and conditions and the ability to courteously and succinctly communicate contract management positions and policies to internal clients and cross-functional teams
  • Strong writing skills, with the ability to draft agreements, documents, policies, and emails clearly, concisely and professionally for dissemination across all levels of the organization
  • The ability to work independently and see tasks through to completion, while exercising appropriate discretion to seek guidance and support as needed
  • Must be able to work flexibly with changing priorities
  • Maintain a sense of humor and fun throughout
